Description

Job Responsibilities: 

1. Monitor and Stay Informed on Legislative and Regulatory Changes: - Keep abreast of changes in relevant legislation and regulatory environments affecting the company. - Provide regular updates to the management team on developments that may impact the company's operations. 

2. Documentation and Compliance: - Ensure meticulous record-keeping of Minutes and Resolutions. - Maintain an updated register of directors and secretary. - Ensure all statutory declarations are accurately filed. - Guarantee timely submission of regulatory reports and letters. - Oversee and ensure compliance with statutory filings. 

3. Board Meetings and Governance Support: - Organizing and coordinating board meetings and annual general meetings. - Draft agendas and timetables for board and annual general meetings. - Prepare the Annual Board Calendar, Workplan, and Training Plan. - Facilitate the timely dissemination of board papers. - Support the Company Secretary in the preparation of board papers and other related functions. 

4. Governance Document Review: - Conduct regular reviews of governance documents to ensure compliance and relevance. 

5. Training and Development: - Collaborate in planning training programs for new and existing directors on corporate governance, duties, and responsibilities. - Execution of training initiatives aimed at enhancing the corporate governance knowledge of the board. 

6. Legal and Advisory Support: - Assist the Company Secretary in providing advice to the Board on legal, governance, accounting, and tax matters

 
Qualifications

Job Skills: 

• High level of analytical skills with attention to detail. 

• Problem-solving skills with the ability to analyse complex information to identify the key issue/action and drive resolution. 

• Excellent organizational skills, ability to use initiative and work with minimum supervision while ensuring that Management are fully always informed. 

• Ability to communicate effectively and confidently, orally and in writing, with stakeholders at all levels of seniority including external stakeholders. 

• Ethical Leadership skills, including the ability to maintain confidentiality. 

• Flexibility to balance governance and compliance requirements with commercial objectives without compromising achievement of the highest standards of governance and compliance. 

• Strength of character and personal presence to be able to influence senior management and operate effectively at senior levels both internally and externally.

 • Proven ability to analyse complex business issues and identify, design and implement effective practical recommendations. Job 

Qualifications: 

• A bachelor’s degree in law/economics/BCOM 

• A professional certification in accounts like ACCA, CPA will be an added advantage 

• A professional certification in company secretarial 

• Minimum of 10 years’ relevant experience in either Banking, Insurance or Fintech. 

• In-depth knowledge of regulatory environment and key regulatory guidelines affecting the financial services industry. 

• Broad range of experience in the financial services industry with a focus on corporate governance, company secretarial and regulatory reporting & compliance. 

• An accredited governance auditor
